GOAT GRUB Terms of Service

1. Introduction

Applicable Terms. Thanks for using GOAT Grub. GOAT Grub is a service provided by GOAT Brands LLC (“GOAT Grub”, “we” or “us”), located at 7901 4th St N #8706 St. Petersburg, FL, USA. Your use of the GOAT Grub app or other digital content or services (referred to as "Content") available through it is subject to these GOAT Grub Terms of Service (“GOAT Grub ToS”), the GOAT Grub End User License Agreement ("GOAT Grub EULA"), and the GOAT Grub Privacy Policy (together referred to as the “Terms”). GOAT Grub is an “app” as described in the GOAT Grub ToS.

2. Your Use of GOAT Grub

Access to and Use of Content. You may use GOAT Grub to browse, locate, view, stream, download, or upload Content for your mobile, computer, tv, watch, or other supported device (“Device”). To use GOAT Grub, you will need a Device that meets the system and compatibility requirements for the relevant Content, working Internet access, and compatible software, which are your responsibility to provide. The availability of Content and features will vary between countries and not all Content or features may be available in your country. Some Content may be available to share with other users. Content may be offered by GOAT Grub or made available by third parties not affiliated with GOAT Grub. GOAT Grub LLC is not responsible for and does not endorse any Content made available through GOAT Grub that originates from a source other than GOAT Grub.

Age Restrictions. GOAT Grub will be primarily used by adults and will contain content uploaded by adults regarding food and restaurants but is open to a wide audience of anyone who appreciates great food experiences, which can include minors age 14 and over. If you are considered a minor over the age of 14 in your country, you must have your parent or legal guardian’s permission to use GOAT Grub and to accept the Terms. You must comply with any additional age restrictions that might apply for the use of specific Content or features on GOAT Grub.

Third-Party Fees. You are responsible for any access or data fees incurred from third parties (such as your Internet provider or mobile carrier) in connection with your use and viewing of Content and GOAT Grub.

Updates. GOAT Grub, related support libraries, or Content may need to be updated, for example, for bug fixes, enhanced functions, missing plug-ins and new versions (collectively, “Updates”). Such Updates may be necessary in order for you to use GOAT Grub or to access, download, or use Content. By agreeing to these Terms and using GOAT Grub, you agree to receive such Updates automatically. You may be able to manage Updates to certain Content via Settings in GOAT Grub or your device. If it is determined, however, that the Update will fix a critical security vulnerability or critical operability issue related to the Content, or will prevent abuse, the Update may be completed irrespective of your Update settings in GOAT Grub or your Device.

Information about You. GOAT Grub’s Privacy Policy explains how we treat your personal data and protect your privacy when using GOAT Grub. GOAT Brands LLC may need to provide your personal information, such as your name and email address, to Providers for the purposes of processing your transactions or provisioning Content to you. Providers agree to use this information in accordance with their privacy policies.

Unauthorized Access to Accounts. You must keep your account details secure and must not share them with anyone else. You must not collect or harvest any personal data of any user of GOAT Grub including account names.

Disabled Accounts. If GOAT Grub disables access to your account in accordance with the Terms (for example if you violate the Terms), you may be prevented from accessing GOAT Grub, your account details or any files or other Content that is stored with your account.

Changes to these Terms. If the GOAT Grub ToS change, you will be given at least 30 days notice, and the new GOAT Grub ToS will be effective after such notice period. Your continued use of GOAT Grub following such notice period will indicate your acceptance of the new GOAT Grub ToS. The new GOAT Grub ToS will apply to your use of all Content (including Content you have uploaded, installed or purchased in the past) and all subsequent uploads, installs or purchases. If you do not agree with such changes, you will be given the opportunity to download the Content you previously purchased or installed and terminate your use of the GOAT Grub. You may continue to view that copy of the Content on your Devices in accordance with the last version of the GOAT Grub ToS that you accepted.

3. Purchases and Payments

Free Content. GOAT Grub LLC may allow you to download, view or use Content free of charge on the GOAT Grub app. Additional limitations may apply to your access and use of certain free Content.

Purchase of Content. When you buy a subscription, you will enter into a separate sale contract based on these Terms (as applicable) with the seller which will be either:

(a) Google LLC; or

(b) Apple Inc.

The separate sale contract is in addition to these Terms.

Your contract for the purchase and use of a subscription is completed once you receive the email from the appropriate app store confirming your purchase of that subscription, and performance of this contract begins as soon as the purchase is complete. Subscriptions are paid in advance and nonrefundable.

App Store Payments. In order to purchase subscriptions, you must have an account with the appropriate app store and agree to the terms of that app store. You are responsible for all amounts payable associated with purchases made through any app store account.

Other Payment Processing Methods. For certain users, such as Venue Users, GOAT Brands LLC may make available to you various payment processing methods in addition to the app stores. For example, you may be able to pay via Stripe. You must abide by any relevant terms and conditions or other legal agreement, whether with an app store or a third party such as Stripe or other payment processor, which governs your use of a given payment processing method. GOAT Brands LLC may add or remove payment processing methods at its sole discretion. You are solely responsible for all amounts payable associated with purchases you make.

Pricing. Pricing and availability of all Content displayed through GOAT Grub are subject to change at any time prior to purchase.

Taxes."Taxes" means any duties, customs fees, levies or taxes (other than income tax) associated with the sale of Content, including any related penalties or interest. You are responsible for any Taxes and must pay for Content without any reduction for Taxes. If GOAT Brands LLC is obligated to collect or pay Taxes, the Taxes will be charged to you. You must comply with any and all applicable tax laws, including the reporting and payment of any Taxes arising in connection with your use of GOAT Grub or the purchase of Content on or through GOAT Grub. The reporting and payment of any such applicable Taxes are your responsibility.

All Sales Final. All sales are final, and no returns, replacements or refunds are permitted. If a replacement, return or refund is granted for any transaction, the transaction may be reversed, and you may no longer be able to access the Content that you acquired through that transaction.

Subscriptions. Subscriptions are automatically charged each billing period (whether weekly, monthly, annually, or another period), and you may be charged no earlier than 24 hours before the beginning of each billing period. Subscription sales are final, and no returns, replacements or refunds are permitted.

(a) Trial Periods. When you subscribe to Content for a price, you may receive access to the subscription benefits at no charge for a specified trial period, after which you will be charged until you cancel your subscription. To avoid being charged, you must cancel before the end of the trial period. Once you cancel your trial, you will immediately lose access to the Content and any subscription privileges unless otherwise specified. Access to such trial periods may be limited to a certain number of trials for each user during a given period, or other restrictions.

(b) Cancellations. You may cancel a subscription at any time before the end of the applicable billing period, and the cancellation will apply to the next period. For example, if you purchase a monthly subscription, you may cancel that subscription at any time during any month of the subscription, and the subscription will be cancelled at the end of your then-current billing period. You will not receive a refund for the current billing period.

(c) Price Increases. When you purchase a subscription, you will initially be charged at the rate applicable at the time of your agreement to subscribe. If the price of the subscription increases later, GOAT Grub will notify you. The increase will apply to the next payment due from you after the notice, provided that you have been given at least 30 days' prior notice before the charge is made. If you are given less than 30 days' prior notice, the price increase will not apply until the payment after the next payment due. If you do not wish to pay the increased price for a subscription, you may cancel the subscription as described in the Cancellations section of these Terms, and you will not be charged further amounts for the subscription, provided you have notified us before the end of the current billing period. Where the Provider increases the price of a subscription and consent is required, GOAT Brands LLC may cancel your subscription unless you agree to the new price. If your subscription is cancelled and you later decide to re-subscribe, you will be charged at the then current subscription rate.

4. Rights and Restrictions

License to Use Content. After completing a transaction or paying the applicable fees for Content, you will have the non-exclusive right, solely as expressly permitted in these Terms and associated policies, to store, access, view, use, and display copies of the applicable Content on your Devices or as otherwise authorized for your personal, non-commercial use only. All rights, title and interest in GOAT Grub and Content not expressly granted to you in the Terms are reserved. Your use of apps and games may be governed by the additional terms and conditions of the end user license agreement between you and the Provider.

Ownership of Uploaded Content. You may upload content to the GOAT Grub app at your discretion. Uploaded content includes things such as GOAT ratings, reviews (including all text, images, videos, audio, etc.), and other uploaded content. You agree that ownership, including all rights such as copyright rights, of any content you upload is assigned to GOAT Brands LLC when you upload that content and the content becomes the exclusive property of GOAT Brands LLC. Further, you give GOAT Brands LLC the license to use this content in connection with your user account information such as profile name and picture (but not personal information) at its sole discretion without payment to you.

Violation of License Terms. If you violate any of the Terms, your rights under this license will immediately terminate, and GOAT Brands LLC may terminate your access to GOAT Grub, the Content or your GOAT Grub Account without refund to you.

Restrictions: You may not:

display (in part or in whole) the Content as part of any public performance or display even if no fee is charged except (a) where such use would not constitute a copyright infringement or violate any other applicable right or (b) as specifically permitted and only in the exact manner provided.
sell, rent, lease, redistribute, broadcast, transmit, communicate, modify, sublicense, transfer, assign any Content to any third party including with regard to any downloads of Content that you may obtain through GOAT Grub except as specifically permitted and only in the exact manner provided.
use GOAT Grub or any Content in conjunction with any stream-ripping, stream capture or similar software to record or create a copy of any Content that is presented to you in streaming format.
use Content as part of any service for sharing, lending or multi-person use, or for the purpose of any other institution, except as specifically permitted and only in the exact manner provided.
attempt to, or assist, authorize or encourage others to circumvent, disable or defeat any of the security features or components that protect, obfuscate or otherwise restrict access to any Content.
remove any watermarks, labels or other legal or proprietary notices included in any Content, or attempt to modify any Content obtained through GOAT Grub, including any modification for the purpose of disguising or changing any indications of the ownership or source of Content.

Third-Party Provisions. Notwithstanding anything to the contrary in these Terms, the third parties who license their Content to GOAT Grub are intended third party beneficiaries under these Terms solely with respect to the specific provisions of these Terms that directly concern their Content (“Third-Party Provisions”), and solely for the purpose of enabling such third parties to enforce their rights in such Content. For the avoidance of doubt, nothing in these Terms confers a third-party beneficiary right upon any party, with respect to any provision that falls outside the Third-Party Provisions, which includes but is not limited to any provisions or agreements incorporated by reference, or that may be referenced without incorporation, in these Terms.

GOAT Grub Policies. Posting GOATs (Greatest of All Time) ratings on GOAT Grub is subject to the following policies. If you want to report abuse or other content violations, please contact us at admin@mygoatgrub.com.

GOAT Ratings on the GOAT Grub app

Below you can find information about ratings on GOAT Grub, as well GOAT Brands LLC’s policies for posting GOAT (greatest of all time) ratings.

GOATs are intended to represent your selection of the best of something whether that is a food item (e.g., pizza, hamburger, salad, etc.), a cuisine (e.g., Thai, Mexican, Italian, etc.) or a meal (e.g., breakfast, brunch, late night snack, etc.). As such, each user can only have one local and one national GOAT at a time in a given category. This is after all your Greatest Of All Time. While there may be only one GOAT for food type, category etc. per user, GOATS aren’t permanent. Your GOAT can be updated if you come across something that wows you more than your original GOAT.

You can assign GOATs for anything related to GOAT Grub’s focus, which is food, dining, restaurants, food categories, etc. GOATs are a great way to help others decide what to get by sharing your palate profile. GOAT Grub LLC doesn't pay anyone to contribute GOATs or rate or review content on GOAT Grub, and we expect reviewers to be honest and unbiased.

There are GOAT Guides who are users identified by GOAT Grub as being uniquely qualified to provide excellent GOATs and content for GOAT Grub users. GOAT Guides are selected for partnership with GOAT Grub LLC solely at the discretion of GOAT Grub LLC. Disclosure: GOAT Guides will receive a complimentary annual subscription to GOAT Grub in exchange for their participation in the GOAT Guides program. This is the only consideration given to GOAT Guides.

What others will see when you assign a GOAT

All GOATs are visible to everyone.

Your GOAT will include the GOAT category (meal, cuisine, or food item) the restaurant that earns your GOAT, and level of GOAT (local or national).

Usernames and profile pictures are not visible to the public or venue owners.

GOAT posting policies

GOATs are meant to be helpful and trustworthy. Assigning GOATs on GOAT Grub is a great way to share helpful feedback and assist other GOAT Grub users in finding great food experiences.

Guidelines for assigning a GOAT

Only assign GOATs for food you have personally enjoyed.
Update your GOATs as you experience new amazing food.
Reserve GOATs for what you truly perceive as the greatest of all time for the assigned category.

GOAT Grub’s policies for assigning GOATs are below. Any content that is offensive or violates these policies will be removed through a combination of automated and human review, and anyone who repeatedly or egregiously violates them may lose the ability to post on GOAT Grub and have their account deleted with no refund.

Spam and fake GOATs

Your GOATs should reflect the experience you've had with the food you're rating.

Don't assign fake or inaccurate GOATs.
Don't assign the same GOAT multiple times.
Don't assign GOATs for the same food from multiple accounts.
Don't assign GOATs to mislead other users or manipulate the rating.
Don't assign GOATs on behalf of others.
Don't misrepresent your identity or your connection to the food you're rating.
Don’t assign GOATs in exchange for remuneration of any kind.

Conflict of interest

GOATs are most valuable when they're genuine and unbiased. They should be assigned by people who aren't motivated by financial gain.

Don't offer or accept money, products, or services in exchange for assigning GOATs.
Don’t solicit GOATs to be assigned by employees of a business you work for or own.

Copyrighted content

GOATs in your palate profile should be your own and reflect your personal opinions.

Don't assign GOATs that infringe on the intellectual property rights of others, including copyright.

Illegal content

Your profile must comply with the law and any terms or legal agreements you have agreed to.

Don’t upload or add profile content that contains or links to illegal content.

Sexually explicit content

GOAT Grub is intended for a broad audience, and your profile content should reflect that.

Don't post profile pictures that contain, promote, or solicit sexually explicit content.
Don't post profile pictures that depict children in sexual situations or address them in a sexual manner. GOAT Brands LLC will report any such content to the appropriate law enforcement authorities.

Hate speech

GOAT Grub is intended for all people, and all user created content should reflect that.

Don't promote violence, condone violence, or incite hatred toward an individual or group based on their race, nationality, ethnic origin, religion, gender, gender identity, sexual orientation, age, disability, veteran status, or any other characteristic that is associated with systemic discrimination or marginalization.

Offensive GOATs

GOAT Grub is meant to entertain and inform in a positive way, not attack or offend.

Don't post obscene, profane, or offensive language.
Don't create content that harasses, bullies, or attacks others.
Don’t add negative content to your profile. Negative content about others, venues, or food is strictly prohibited.

Multiple Accounts. If you have multiple GOAT Grub Accounts with different usernames, in some cases you may transfer Content out of an account and into another account, provided you are the owner of each such account and provided GOAT Grub has enabled a feature of the relevant service allowing such transfers.

Dangerous Activities. None of the GOAT Grub Services or Content are intended for use in the operation of nuclear facilities, life support systems, emergency communications, aircraft navigation or communication systems, air traffic control systems, or any other such activities in which case the failure of the Services or Content could lead to death, personal injury, or severe physical or environmental damage.

No Liability for Food or Venues. GOAT Grub provides the services to help users in locating great food experiences. However, you understand and accept that GOAT Grub is in no way responsible for any of the following:

Getting sick or injured if you choose a food or venue based on information provided by GOAT Grub app.
Visiting a venue for a deal published on the GOAT Grub app and the deal is not available or provided.
Visiting a venue for a specific meal/cuisine/item searched that is not present or available at the venue at the time of the user’s patronage of the venue.

GOAT Guides Program Terms. GOAT Guides will receive continuous premium subscription features as long as they remain active on the platform.

GOAT Guides will complete a minimum of 15 GOATs to have their profile featured in the GOAT Grub app.
GOAT Guides’ profile pictures, platform links (i.e. website link or social media account), and short bios will be visible to all users.
GOAT Brands LLC has sole discretion to cancel/delete any user (including GOAT Guides) if they violate these Terms.

Venue Terms. For venues advertising on GOAT Grub the following additional terms apply:

No obscene pictures or content can be posted on venue pages or in advertisements
No profanity can be published on venue pages, deals, or communications
Venues must honor deals they publish
GOAT Grub does not guarantee and return on investment when advertising on the GOAT Grub platform/app
Advertising credit purchases are non-refundable
Violation of terms will result in deletion of venue profile and venue owner access to advertising/analytics, and forfeiture of any unused advertising credits.

GOAT GRUB End User License Agreement

Software License Terms for GOAT GRUB

These license terms are an agreement between GOAT Brands LLC (or one of its affiliates) (and you.

Please read them. They apply to the software named above. The terms also apply to any

GOAT GRUB software updates, supplements, mobile applications, Internet-based services, and support services for this software, unless other terms accompany those items. If so, those terms apply.

BY USING THE SOFTWARE, YOU ACCEPT THESE TERMS. IF YOU DO NOT ACCEPT THEM, DO NOT USE THE SOFTWARE.

If you comply with these license terms, you have the rights listed below.

1. ACCESS, USE RIGHTS, AND LIMITATIONS.

a. Installation and Use. You may install and use the software on devices you own or control.

b. This software requires connection to computer systems running GOAT GRUB software over an internet-based wired or wireless network. Updates or upgrades to your device’s OS may be required for full functionality. Some functionality may not be available in all countries or regions.

c. GOATs. You acknowledge that GOATs (or user selections of their Greatest Of All Time meals, cuisines, food items, or other products or services) submitted to GOAT GRUB are provided by GOAT GRUB users. GOAT Brands LLC makes no guarantee of the accuracy or quality of GOATs.

d. Restaurants, or Other Products or Services Mentioned in GOATS are provided by the respective third parties and are not controlled by GOAT GRUB. GOAT Brands LLC makes no guarantee as to the quality or safety of restaurants, or other products or services mentioned in GOATS. You agree to hold GOAT Brands LLC harmless for any illness, injury, or other loss related to any established mentioned in a GOAT that you visit and purchase food, beverage, products, and/or services.

e. Third-party Programs and Data. The software may include or access third party programs and/or data that GOAT Brands LLC does not control, and/or that GOAT Brands LLC, not the third party, licenses to you under this agreement. Notices, if any, for the third-party programs or data are included for your information only. GOAT Brands LLC MAKES NO GUARANTEE OF THIRD-PARTY DATA AVAILABILITY OR ACCURACY.

f. Prohibited content and conduct. Prohibited content includes, but is not limited to, adult content (e.g., pornography), gambling content, content that advocates against an individual, group, or organization, copyrighted material, drug, alcohol, and tobacco-related content, hacking and cracking content, content that offers compensation programs (e.g., “pay-to” sites), violent content, weapons-related content and/or other illegal content. Prohibited conduct includes, but is not limited to, any activities on GOAT GRUB related to prohibited content, harassment, intimidation, hateful speech against another person or group of persons, and discrimination. GOAT GRUB in its sole discretion determines whether content or conduct is prohibited. You may not upload, retransmit, or otherwise exchange prohibited content on GOAT GRUB. You may also not engage in prohibited conduct on GOAT GRUB. Any prohibited content or conduct may result in immediate account termination and any information collected may be turned over to law enforcement authorities.

g. Third-party Content. The GOAT GRUB software may provide access to third-party content such as GOATs of other users, restaurant content or advertisements, etc. GOAT GRUB does not guarantee the accuracy or effectiveness of such content, nor does GOAT GRUB guarantee any specific results to be achieved by following the content. All purchases made through the GOAT GRUB are final and non-refundable.

2. INTERNET ACCESS MAY BE REQUIRED.

You may incur charges related to Internet access, data transfer and other services per the terms of the data service plan and any other agreement you have with your network operator due to use of the software. You are solely responsible for any network operator charges.

3. INTERNET-BASED SERVICES.

GOAT GRUB may provide Internet-based services, such as server access, associated with the software. GOAT GRUB may change or cancel such Internet-based services at any time.

a. Consent for Internet-Based or Wireless Services.

The software may connect to Internet-based wireless services. Your use of the software operates as your consent to the transmission of standard device information (including but not limited to technical information about your device, system and application software, and peripherals) for Internet-based or wireless services. If other terms are provided in connection with your use of the services, those terms also apply.

b. Misuse of Internet-based Services.

You may not use any Internet-based service in any way that could harm it or impair anyone else's use of it or the wireless network. You may not use the service to try to gain unauthorized access to any service, data, account or network by any means.

4. SCOPE OF LICENSE.

The software is licensed, not sold. This agreement only gives you some rights to use the software. GOAT GRUB reserves all other rights. Unless applicable law gives you different rights than this limitation, you may use the software only as expressly permitted in this agreement. In doing so, you must comply with any technical limitations in the software that only allow you to use it in certain ways. You may not:

work around any technical limitations in the software, reverse engineer, decompile or disassemble the software, except and only to the extent that applicable law expressly permits;

publish the software for others to copy;

make more copies for the software than specified in this agreement;

rent, lease or lend the software; or

transfer the software or this agreement to any third party.

5. DOCUMENTATION.

If documentation is provided with the software, you may copy and use the documentation for your internal, reference purposes.

6. TRANSFER TO ANOTHER DEVICE.

You may uninstall the software and install it on another device for your use. You may not do so to share this license between devices beyond the scope of this agreement.

7. SUPPORT SERVICES.

Because this software is provided "as is," we may not provide support services for it. Your phone manufacturer and your wireless carrier are not responsible for providing support services for the software.

8. COPYRIGHT NOTICES.

GOAT GRUB is a trademark of GOAT Brands LLC in the United States and/or other countries or regions. GOAT Brands LLC also claims patent and copyright rights in source code, screen designs and other aspects of the software and expressly reserves all rights.

9. ENTIRE AGREEMENT

This agreement and the terms for supplements, updates, Internet-based services and support services that you use, are the entire agreement for the software and support services.

10. APPLICABLE LAW

a. United States.

If you acquired the software in the United States, Florida state law governs the interpretation of this agreement and applies to claims for breach of it, regardless of conflict of law principles. The laws of the state where you live govern all other claims, including claims under state consumer protection laws, unfair competition laws, and in tort.

b. Outside the United States.

If you acquired the software in any other country or region, the laws of that country or region apply.

11. LEGAL EFFECT.

This agreement describes certain legal rights. You may have other rights under the laws of your country or region. You may also have rights with respect to the party from whom you acquired the software. This agreement does not change your rights under the laws of your country or region if the laws of your country or region do not permit it to do so.

12. DISCLAIMER OF WARRANTY.

THE SOFTWARE IS LICENSED "AS-IS," "WITH ALL FAULTS," AND "AS AVAILABLE." YOU

BEAR THE RISK OF USING IT. GOAT GRUB AND WIRELESS CARRIERS OVER WHOSE NETWORK THE SOFTWARE IS DISTRIBUTED, AND EACH OF OUR RESPECTIVE AFFILIATES, AND SUPPLIERS ("COVERED PARTIES") GIVE NO EXPRESS WARRANTIES, GUARANTEES OR CONDITIONS UNDER OR IN RELATION TO THE SOFTWARE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU. YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING

OR REPAIR. YOU MAY HAVE ADDITIONAL CONSUMER RIGHTS UNDER YOUR LOCAL LAWS WHICH THIS AGREEMENT CANNOT CHANGE. TO THE EXTENT PERMITTED UNDER YOUR LOCAL LAWS, THE COVERED PARTIES EXCLUDE THE IMPLIED WARRANTIES OR CONDITIONS, INCLUDING THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

13. LIMITATION ON AND EXCLUSION OF REMEDIES AND DAMAGES.

TO THE EXTENT NOT PROHIBITED BY LAW, YOU CAN RECOVER FROM GOAT GRUB ONLY DIRECT DAMAGES UP TO ONE U.S. DOLLAR ($1.00) YOU AGREE TO NOT SEEK TO RECOVER ANY OTHER DAMAGES, INCLUDING CONSEQUENTIAL, LOST PROFITS, SPECIAL, INDIRECT OR INCIDENTAL DAMAGES FROM ANY COVERED PARTIES.

This limitation applies to anything related to the software, services, content (including code or data) on third party Internet sites, or third party programs; and claims for breach of contract, warranty, guarantee or condition; consumer deception; unfair competition; strict liability, negligence, misrepresentation, omission, protection; or other tort; violation of statute or trespass regulation; or unjust enrichment; all to the extent permitted by applicable law.

It also applies even if: refund for, or repair or replacement of the software does not fully compensate you for any losses; or the Covered Parties knew or should have known about the possibility of the damages.
